Emma advises companies on their corporate transactions including mergers, acquisitions and disposals of shares or assets, debt financing arrangements and refinancing. With extensive experience of banking and finance arrangements for companies, she helps directors to understand the terms which they are offered, how they compare to standard terms in the market, security issues and formalities, unusual terms, risks and whether the facilities offered will give the company the flexibility to operate that it requires.
Emma has acted for businesses of all sizes, from SMEs to multi-national corporations and banks, having worked in London, Hong Kong and Dubai earlier in her career, she has also acted for private equity firms, investment banks and sovereign entities.
Recent examples of how Emma has helped clients include:
- reviewing a facility agreement for a public company to protect their interests during the refinancing of debt by a syndicate of leading banks;
- helping complete the refinancing of a national chain of restaurants including releasing and re-taking security over the group of companies; and
- protecting the interests of the senior lenders during the financing of the leveraged buy-out of a multi-national company by a private equity firm.
